1. Introduction

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Aceternity Solutions Pvt. Ltd. ("Company," "we," "us," or "our") regarding your use of Acebuilder ("Service"), including the Vercel Integration ("Integration").

By installing, connecting, or using the Service or Integration, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not use the Service or Integration.

2. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service through your Acebuilder account
• Connect the Integration to your Vercel account via OAuth2 authentication
• Generate, modify, and deploy landing pages using AI-powered tools
• Deploy generated code to your connected Vercel account

This license is granted solely for your personal or internal business use and is subject to the limitations and restrictions outlined in this Agreement.

3. Restrictions

You agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Modify, adapt, translate, or create derivative works based on the Service
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the Service to violate any applicable laws, regulations, or third-party rights
• Distribute, sublicense, rent, lease, or lend the Service to third parties
• Use the Service to generate content that is illegal, harmful, defamatory, or infringes intellectual property
• Attempt to bypass, disable, or interfere with security features or usage limitations
• Use automated systems (bots, scrapers) to access the Service except through provided APIs
• Resell or commercialize the Service without explicit written permission
• Use the Integration to deploy malicious code, viruses, or harmful software to Vercel

4. Data Usage and Ownership

4.1 Your Content

You retain all ownership rights to the content you create using Acebuilder ("Your Content"). This includes landing pages, code, text, images, and other materials generated through the Service. By using the Service, you grant us a limited license to:

• Process, store, and transmit Your Content to provide the Service
• Deploy Your Content to your connected Vercel account
• Use anonymized, aggregated data for improving the Service

4.2 AI-Generated Code

Code generated by Acebuilder's AI tools is provided "as-is" for your use. You are responsible for:

• Reviewing and validating all generated code before deployment
• Ensuring compliance with applicable licenses for any third-party libraries or components
• Verifying that generated content does not infringe third-party intellectual property rights

4.3 Third-Party Integration Data

When you connect your Vercel account via OAuth2, we collect and process:

• OAuth access tokens (encrypted and securely stored)
• Project identifiers and deployment metadata
• Deployment logs and status information

This data is used solely to provide the Integration functionality. We do not share this data with third parties except as required to operate the Integration (e.g., communicating with Vercel's API).

5. Termination

5.1 Termination by You

You may terminate this Agreement at any time by:

• Disconnecting the Vercel Integration from your Acebuilder account
• Revoking OAuth access from your Vercel account settings
• Deleting your Acebuilder account

5.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if you:

• Violate any provision of this Agreement
• Fail to pay applicable fees (for paid plans)
• Engage in fraudulent, abusive, or illegal activities
• Violate the intellectual property rights of others

5.3 Effect of Termination

Upon termination:

• Your license to use the Service and Integration will immediately cease
• We will delete Your Content from our servers within 30 days, except as required by law
• Deployed projects on Vercel will remain under your control
• You remain responsible for any outstanding fees or obligations

6. Disclaimer of Warranties

THE SERVICE AND INTEGRATION ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding availability, reliability, accuracy, or completeness of the Service
• Warranties that the Service will be error-free, secure, or uninterrupted
• Warranties regarding the quality, accuracy, or suitability of AI-generated content

We do not warrant that:

• The Service will meet your specific requirements or expectations
• Generated code will be bug-free or production-ready without testing
• Deployments to Vercel will succeed in all cases
• Third-party integrations (including Vercel) will remain compatible or available

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACETERNITY SOLUTIONS PVT. LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

This includes, but is not limited to, damages for:

• Loss of profits, revenue, data, or business opportunities
• Service interruptions, deployment failures, or data loss
• Errors or bugs in AI-generated code
• Costs of procurement of substitute services
• Unauthorized access to or alteration of your transmissions or data

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Aceternity Solutions Pvt. Ltd., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service or Integration
• Your violation of this Agreement
• Your violation of any third-party rights, including intellectual property rights
• Content you deploy to Vercel using the Integration
• Any fraudulent, negligent, or illegal activities

9. Modifications to the Agreement

We reserve the right to modify this Agreement at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this Agreement
• Notify you via email or in-app notification (for material changes)
• Provide at least 30 days' notice before changes take effect

Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must discontinue use of the Service.

10. Governing Law and Dispute Resolution

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

10.2 Jurisdiction

Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

10.3 Dispute Resolution

Before initiating legal proceedings, you agree to first attempt to resolve any disputes informally by contacting us at [email protected]. We commit to working in good faith to resolve disputes within 30 days of receiving notice.

11. General Provisions

11.1 Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Aceternity Solutions Pvt. Ltd. regarding the Service and supersedes all prior agreements.

11.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.3 Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer this Agreement or your rights hereunder without our prior written consent. We may assign this Agreement without restriction.
